Jamba, Inc today announced that the Company has signed a master development agreement with Paris Croissant, an affiliate of the SPC Group, to develop 200 Jamba Juice locations in South Korea over the next 10 years. The first Jamba Juice location is scheduled to open in 2010.

Jamba, Inc today announced the sale of nine restaurants in California and Arizona, and the signing of purchase agreements for 28 restaurants primarily outside of California. The purchase agreements include commitments to further expand the Jamba Juice brand by developing an additional six new stores. The 37 restaurants represented by the sales and purchase agreements supplement the sale of 47 previously announced restaurants and will lead to the achievement of almost 60 percent of the Company’s refranchising program. The overall refranchising initiative, announced in June 2009, is expected to involve the refranchising of up to 150 company-owned restaurant locations and be completed by the close of 2010.

Jamba, Inc. (NASDAQ: JMBA) today announced that one of their franchisees, Creative Food Group, will be expanding Jamba Juice outlets with the opening of four new non-traditional Jamba Juice® store locations in New York City and Northern New Jersey during 2010.

The Brunswick Square Mall location in East Brunswick, New Jersey opened on March 5, 2010 and the Newark Airport Terminal A location is celebrating its grand opening on April 27, 2010. The Newport Centre Mall location in Jersey City, New Jersey is scheduled to open in late May 2010 and the New York Penn Station location is projected to open in September 2010. The Newark airport opening will be the Company’s ninth airport location and is the second Jamba Juice airport location to open in the Newark airport.

Today, hundreds of high school students joined together at the Fremont Federation of High Schools – College Prep and Architecture Academy, Mandela High, Media College Prep, Robeson School of Visual & Performing Arts – for a Healthy Oakland Schools celebration that included a “Ready, Set, Jamba Jump” jump rope event and student forum with motivational speaker Stedman Graham.  The activities highlighted a new program announced today between Jamba Juice (Nasdaq: JMBA) and the Oakland Unified School District to provide healthy All Fruit™ Smoothies to Oakland public schools as part of their school lunch programs.  

The day began with nearly 300 students attending a forum that featured an inspirational discussion with James D. White, President and CEO of Jamba Juice Company and author, educator and entrepreneur, Stedman Graham.  They encouraged students to aim high, set high goals for themselves and strive to overcome any adversity they may face in their lives.  Graham, who travels throughout the country speaking to students, has a lifelong commitment to youth, community and education.  He outlined nine steps for success for the students from his educational series, “My Life is About.”  

“Inside every teen there is a dream and we’re here today to inspire and help them discover and create opportunities so they can reach their greatest potential,” said Graham.  ”It is important to help them understand their potential so they become the architects in their own lives.”

Following the forum, Jamba’s Bananaman joined Team Oakland, a local student youth track team trained by 100 Black Men, to lead students in a “Ready, Set, Jamba Jump” jump rope event.  Hundreds of students jump roped to music and everyone who participated was a winner, each receiving a $5 Jamba Juice® gift card. Jamba Juice donated 500 jump ropes to the school for its physical education programs and students were served Jamba Juice smoothies afterward.  Jamba Juice supports Team Oakland by providing delicious oatmeal for their training clinics.  The team will be competing in the International Children’s Olympics in France this June.

Jamba, Inc. (NASDAQ:JMBA) today reported financial results for the fiscal year and fourth quarter ended December 29, 2009. The results showed continued progress on strategic priorities, including the disciplined management of costs and expenses and the expansion of food, licensed consumer products, and franchising. The Company said that incremental sales from its food and hot beverage initiatives during the seasonally low fourth quarter indicates a potential for a return to positive comparable store sales growth for the full year in 2010.

For fiscal year 2009, Jamba achieved and exceeded several strategic priorities that included:

  • Financial initiatives that improved store level margins to 15.1% of total revenue, lowered G&A by 22.9% to $37.0 million, and eliminated all long term debt.
  • Major programs that strengthened its new business model with the extension of oatmeal to more than 600 locations, the introduction of new food items in more than 370 locations, the testing of hot beverages, the licensing of five new consumer products and the retail launch of one licensed consumer product.
  • Expanded efforts in franchise development and re-franchising resulting in the opening of 25 new stores and refranchising of 27 units.

Highlights for the 52 week fiscal year 2009 compared to the 52 week fiscal year 2008.

  • Consolidated EBITDA for fiscal 2009 increased by $14.2 million to $8.6 million from $(5.6) million for fiscal 2008.*
  • Company store-level EBITDA for fiscal 2009 improved $3.3 million to $45.7 million from $42.4 million for fiscal 2008, reflecting an improvement of 7.7%.*
  • Total revenue for fiscal 2009 decreased 12.1% to $301.6 million from $342.9 million for fiscal 2008, reflecting a decrease of $41.3 million.
  • Company-owned comparable store sales for fiscal 2009 declined 10.3%.(1)
  • 23 new franchise stores and two new company-owned stores were opened during fiscal 2009.

Highlights for the 12 week fiscal fourth quarter of 2009 compared to the 12 week fiscal fourth quarter of 2008.

  • Consolidated EBITDA for Q409 increased 18.8% to $(9.1) million from $(11.2) million for Q408, reflecting an improvement of $2.1 million.*
  • Company store-level EBITDA for Q409 decreased $0.4 million to $(0.8) million from ($0.4) million for Q408.*
  • Total revenue for Q409 decreased 9.8% to $50.6 million from $56.1 million for Q408.
  • Company-owned comparable store sales for Q409 declined 5.3%.(1)
  • One new franchise store and one new company-owned store were opened during the fiscal fourth quarter of 2009, bringing the store count to 739 stores system-wide, of which 261 are franchise stores and 478 are company-owned stores.

“At the start of 2009, we said that turnaround and transformation would be our mission. With the implementation of disciplined cost controls and the expansion of our business model, we are evolving from a made-to-order smoothie company into a healthy, active lifestyle company,” stated James D. “Despite the tough operating environment, we delivered on our commitments and made significant progress on our long-term plan. We believe that for the year Jamba will see positive comparable store sales, but comparable store sales growth is only one of several metrics we’ll use to gauge our progress,” concluded Mr. White.

Outlook for 2010

The Company plans to achieve the following in 2010:

  • Deliver positive comparable store sales;
  • Reduce G&A by 10-12 percent (excluding share-based compensation);
  • Deliver consolidated EBITDA margins of 5-7 percent;
  • Deliver store-level EBITDA margins of 15-17 percent;
  • Grow via franchise development with the addition of up to 50 franchise stores and expansion into one major international market;
  • Add new licensing agreements in relevant categories; and
  • Complete the refranchising of up to 150 company-owned stores started in 2009.

Liquidity

On December 29, 2009, the Company held $31.5 million in cash, cash equivalents, and restricted cash. The restricted cash balance was $2.7 million. The Company eliminated all debt for borrowed money with the convertible preferred stock transaction completed in July of 2009.

Jamba, Inc. (NASDAQ:JMBA) today announced that the Board of Directors has elected James D. White, President and Chief Executive Officer, Jamba, Inc., to the additional position of Chairman, effective upon his re-election as a Director at the 2010 Annual Stockholders’ Meeting. He will succeed Steven R. Berrard, who has served as Chairman since 2005 and who will serve out the remainder of his term through the 2010 Annual Stockholders’ Meeting.

Mr. White joined Jamba in December, 2008. Previously, he was Senior Vice President of Consumer Brands for Safeway Stores with responsibility for brand strategy, innovation, manufacturing and commercial sales and was Senior Vice President of Business Development in North America at the Gillette Company. He also held executive and management positions with Nestle Purina Petcare Company and the Coca-Cola Company.

Mr. Berrard is Co-Founder and Managing Partner of New River Capital Partners, a private equity fund, and serves as Chief Executive Officer of Swisher International, an industry leader in hygiene solutions and products. He currently serves on the board of Walter Management Investment Corporation. He co-founded and worked, until 1999, as Co-Chief Executive of AutoNation, Inc. He also served as Vice Chairman of Blockbuster Entertainment.

Mr. Byrne is also Co-Founder and Managing General Partner of New River Capital Partners. He previously served as Vice-Chairman of Blockbuster when it was a division of Viacom.

Mr. Martin-Busutil spent over 20 years in top management and leadership positions in the business community. He served as President of International Blockbuster and Cadbury Schweppes Europe. Previously, he held several management positions with General Foods Corporation.

(NASDAQ: JMBA) announced today the sale of 12 additional restaurants to experienced franchise operators, with the sale of 10 stores in Salt Lake City, Utah, to Blended Star, LLC, whose principals are Daljit and Pam Hundal, and two stores in Southern California, RPM Foods Inc, whose principals are Michael Razipour and Pouya Moalej. The purchase of the Utah restaurants by Mr. and Mrs. Hundal, includes a development commitment to further expand the Jamba Juice brand. These sales reflect the Company’s continuing progress against its strategic refranchising initiative.

“We purposely structured our refranchise packages to enable prospective franchise operators to qualify for small business loans through the SBA program,” stated Thibault de Chatellus, senior vice president, global franchise and development, Jamba Juice Company. “That strategy, along with the continued progress against our BLEND plan growth initiatives that are transforming the company, is paying off. We are attracting the right kind of investors to the brand and we expect continued success with the remaining locations, many of which are in varying stages of completion.”
